The parties agree that, following the Distribution, there is (a) no current practical business need for Manitowoc ParentCo to use or have access to the SpinCo Twitter Accounts and, similarly, (b) no current practical business need for SpinCo to use or have access to the Manitowoc ParentCo Twitter Accounts.
SpinCo shall have the meaning set forth in the Preamble.
Seller Account shall have the meaning set forth in the preamble of this Agreement.
Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.
ITT means the Purchaser’s invitation to tender dated (date ITT issued).
Broadridge means Broadridge Financial Solutions, Inc.
SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
Consumer account means an account established primarily for personal, family, or household use.
Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.
RemainCo shall have the meaning set forth in the Preamble.
Xxxxxxx Group means (i) any member of the Xxxxxxx Family, (ii) Xxxxxxx Energy Partners I, LP and SEP Management I, LLC, (iii) Xxxxxxx Parent, (iv) Xxxxxxx Investor, (v) Xxxxxxx Production Partners LP, (vi) Xxxxxxx Oil & Gas Corporation, (vii) Blackstone Newco and (viii) any Person Controlled by any one or more of the foregoing (other than the General Partner, the Partnership or any of their respective Subsidiaries).
Member Account means the regular account and the variable account.
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Account Information Service Provider means a payment service provider pursuing business activities as referred to in point (8) of Annex I;
OPC has the meaning specified in the recital of parties to this Agreement.
Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.
Customer Account means an account carried by a Participant on behalf of a Customer.
User Account means an account under the name of the Customer in relation to the Service subscribed by the Customer.
Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.
Company Service Provider means a Company Employee, a Company Independent Contractor or a member of the Company Board.
ADT means Weighted Average Daily Traffic, or the ratio between (a) traffic to (b) the number of days in a given period of time. Traffic is the number of vehicle crossings in toll plazas or free toll roads in a given period of time.
Customer Account Information means personally identifiable information including Personal Data and Consumption Data. Customer Account Information also includes information received by the Company from the customer for purposes of participating in regulated utility programs, including, but not limited to bill pay assistance, shutoff protection, renewable energy, demand-side management, load management, or energy efficiency.
Sprint means a set period of time during which specific work is realized and made ready for review.
Distribution Accounts Collectively, the Upper-Tier REMIC Distribution Account, the Lower-Tier REMIC Distribution Account, the Excess Interest Distribution Account (and in each case any subaccount thereof), all of which may be subaccounts of a single Eligible Account.
Client Accounts means accounts of Clients (i) that are Controlled by an Access Person and (ii) in which no Access Person has a substantial proportionate economic interest; provided that, the Client pays a management, advisory or any other similar arms-length fee to the Access Person and the beneficiary of the Client Account is not an Immediate Family member of an Access Person.
Dte. GHS means Directorate General and Health Services, MOH&FW.
