Market Price of the Common Stock definition

Market Price of the Common Stock means (x) the closing bid price of the Common Stock for the period indicated in the relevant provision hereof (unless a different relevant period is specified in the relevant provision), as reported by Bloomberg, LP or, if not so reported, as reported on the OTCQB, OTCQX or OTC Pink or (y) if the Common Stock is listed on a stock exchange, the closing price on such exchange, as reported by Bloomberg LP.
Market Price of the Common Stock means the higher of: (i) the Closing Price of the Common Stock on the Issue Date; and (ii) the VWAP (as defined below) of the Common Stock for the Trading Day that is two (2) Trading Days prior to the Exercise Date.
Market Price of the Common Stock means the average closing bid price of the Common Stock for the three (3) trading days (which need not be consecutive) during the period of the twenty (20) trading days ending on the trading day immediately before the date indicated in the relevant provision hereof (unless a different relevant period is specified in the relevant provision) for which the closing bid price of the Common Stock (as reported by Bloomberg, LP or, if not so reported, as reported by the securities exchange or automated quotation system on which the Common Stock is listed or on the over-the-counter market) were the lowest.

Market Price of the Common Stock means the average Closing Price of the Common Stock for the three (3) Trading Days ending on the Trading Day immediately prior to the Exercise Date, and (z) "Closing Price" means the 4:00 P.M. closing bid price of the Common Stock on the Principal Market on the relevant trading day(s), as reported by Bloomberg LP (or if that service is not then reporting the relevant information regarding the Common Stock, a comparable reporting service of national reputation selected by the Holder and reasonably acceptable to the Company) for the relevant date.
Market Price of the Common Stock means the lower of: (i) the Closing Price (as defined below) of the Company’s common stock on the principal market where Common Stock is traded (the “Principal Market”) for the prior business day; or (ii) the volume weighted average sales prices of the Common Stock on such market for the prior ten (10) business days, in each case as recorded by Bloomberg, LP (or if that service is not then reporting the relevant information regarding the Common Stock, a comparable reporting service of national reputation selected by the Holder and reasonably acceptable to the Company).
Market Price of the Common Stock shall be the average of the low bid price per share of the Common Stock (as reported by Bloomberg L.P. or, if the Common Stock is traded on the Nasdaq Stock Market or the New York or American Stock Exchange, as reported by such market or exchange) for the five trading days prior to the Conversion Date. The “Conversion Date” shall mean, the date on which the Holder gives the Company notice of conversion by hand delivery or telecopier or email. In the event that Bloomberg, L.P. shall not provide such information, the information shall be provided by a person or entity that regularly provides price and volume information that is selected by the Holders of a majority of the Company’s warrants then outstanding, based on the number of shares of Common Stock issuable upon exercise of all of such outstanding warrants. The parties understand and agree that, for purposes of Rule 144 of the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Securities Act”), if the holder converts the Warrant pursuant to this Section 1(b), its holding period will commence on the date hereof.
Market Price of the Common Stock means: (i) 100% of the average three Closing Prices of the Company’s common stock on the OTC Bulletin Board for the prior twenty (20) trading days as selected by the Holder; or (ii) if the Closing Price falls below $____ for any three of the prior twenty (20) trading days, 80% of the average three Closing Prices of the Company’s common stock on the OTC Bulletin Board for the prior twenty (20) trading days as selected by the Holder.
Market Price of the Common Stock means the average of the Closing Prices of the Common Stock for the thirty (30) Trading Days prior to the date of determination of the Market Price of the Common Stock.
