The Company shall deduct from the shares of Company Stock issuable to a Participant upon settlement of Vested Units that number of shares of Company Stock having a Fair Market Value, as determined by the Company, equal to the Applicable Withholding Taxes.
Notwithstanding the foregoing, if such Collateral Loan is to be sold to an Affiliate of any Loan Party, such Loan Party shall sell such Collateral Loan at a price not less than the Market Value; provided that, in the case of a Principal Transaction, the Independent Review Party has approved such transaction; provided further that any sale by such Loan Party of a Collateral Loan to any Affiliate shall be subject to the Repurchase and Substitution Limit.

Upon the Closing and until the Parent’s IPO (as such terms if defined in the Articles of Association of the Parent), Parent shall have the right, but not the obligation, to elect to cause Seller to surrender all or any portion of the Parent Shares then held by Seller, to the Parent for cancellation, in consideration for payment by Parent to Seller of the then Fair Market Value of such Parent Shares (the “Call Option”).
