The Company shall not enter into a definitive binding agreement to accept any Inferior Third Party Offer unless (x) the Sponsor fails to deliver a Matched Offer to the Company during the Match Period with respect to such Inferior Third Party Offer or (y) the Company shall have timely delivered an Acceptance Notice.
