Material Adverse definition

Material Adverse with respect to any change or effect, a material adverse change in, or effect on, as the case may be, (i) the financial condition, operations, business, or Property of the Borrower and the Subsidiaries taken as a whole, (ii) the ability of the Borrower to perform its obligations under the Loan Documents, or (iii) the ability of the Administrative Agent, the Issuer or any Lender to enforce the Loan Documents.
Material Adverse. Effect shall mean any material and adverse effect on (i) the assets, liabilities, financial condition, business, operations, prospects or affairs of the Borrower and its Subsidiaries taken as a whole; or (ii) the ability of the Borrower and its Subsidiaries, taken as a whole, to carry out their business on and after the Effective Date or as proposed as of the Effective Date to be conducted or meet its obligations under the Loan Documents on a timely basis.

More Definitions of Material Adverse

Material Adverse. Effect shall mean a material adverse effect on the Assets and Contracts, taken as a whole, the Business or the maintenance and operation of the Facility.

Material Agreements shall have the meaning assigned to such term in Section 7.22.
Material Adverse means, with respect to any change or effect, a material adverse change in, or effect on, as the case may be, (i) the financial condition, results of operations, business or Property of the Company and its Subsidiaries taken as a whole, (ii) the ability of (x) the Borrowers, taken as a whole, (y) the Company or (z) any Guarantor to perform their or its obligations under any Loan Document, or (iii) the ability of the Administrative Agent, the L/C Issuer, the Swing Line Lender or any Lender to enforce any Loan Document or exercise any remedies thereunder.
Material Adverse. CHANGE (OR EFFECT)" means a change (or effect), in the condition (financial or otherwise), properties, assets, liabilities, rights, obligations, operations, business or prospects of the LLC which change (or effect) individually or in the aggregate, is materially adverse to such condition, properties, assets, liabilities, rights, obligations, operations, business or prospects.
