Material Asset Disposition definition

Material Asset Disposition means any Asset Disposition resulting in Net Cash Proceeds of more than $3,000,000 in any single or a series of related transactions.
Material Asset Disposition any Asset Disposition of all or any substantial part of the assets of Borrower and its Subsidiaries, taken as a whole, to any Person (other than Borrower or any of its Subsidiaries).
