Material Company definition

Material Company means, at any time:
Material Company has the meaning assigned to such term in clause (g) of Article VII.
Material Company means the Issuer and each Group Company representing more than five per cent. of the EBITDA, turnover or consolidated gross assets on a consolidated basis (for the avoidance of doubt, excluding any intra group transactions) of the Group according to the latest Financial Report for the Group.

Material Company means (i) any Loan Party, (ii) any Group Member that is listed in Schedule 1.01(g) or (iii) any Group Member that has (x) Group Member Adjusted EBITDA or (y) Group Member Assets representing, respectively, 5% or more of Consolidated Adjusted EBITDA or Consolidated Total Assets. For this purpose:
