Material Contact means contact in person, by telephone, or by paper or electronic correspondence, or the supervision of those who have such conduct, and which is done in furtherance of the business interests of the company and within the last 36 months.

Material Contact means actual contact between Employee and a Customer with whom Employee dealt on behalf of the Company; or whose dealings with the Company were coordinated or supervised by Employee; or who received goods or services from the Company that resulted in payment of commissions or other compensation to Employee; or about whom Employee obtained Confidential Information because of Employee’s Employment with the Company.

During the Notice Period, ▇▇▇▇▇▇▇ agrees not to (a) become employed by, or provide any services for the benefit of, any person or entity other than ▇▇▇▇▇▇▇, (b) advise those Nicolet customers with whom ▇▇▇▇▇▇▇ has or had Material Contact (as defined in Section 16 below) that ▇▇▇▇▇▇▇’s employment at Nicolet will terminate or that Grantee intends to provide services on behalf of another person or entity after the end of the Notice Period, or (c) take any other action that is in violation of this Section.
Material Contact is defined as: (a) Participant having direct contact with the employee, independent contractor, or agent in connection with Participant’s performance of Company job duties; (b) Participant coordinating or supervising the work of the employee, independent contractor, or agent on behalf of the Company; and/or (c) Participant obtaining confidential information about the employee, independent contractor or agent in the ordinary course of Company business.
Following the Participant’s separation of employment from the Company, this non-solicitation covenant shall only apply to employees, independent contractors or agents with whom the Participant had Material Contact during the last twenty-four (24) months of Participant’s employment with the Company.

Material Contact means interaction between the Participant and another employee of the Employer or an Affiliate: (A) with whom the Participant actually dealt or interacted; or (B) whose employment or dealings with the Employer or services for the Employer were directly or indirectly handled, coordinated, managed, or supervised by the Participant.

Material Contact means the contact between you and each customer or prospective customer (a) with which you dealt on behalf of NCR, (b) whose dealings with NCR were coordinated or supervised by you, (c) about whom you obtained confidential information in the ordinary course of business as a result of your association with NCR, or (d) who receives products or services authorized by NCR, the sale or provision of which results, resulted or, with regard to prospective customers, would have resulted in compensation, commissions, or earnings for you within the 2 years prior to the date of your termination;

Material Contact means contact between an employee and each Customer or potential Customer: with whom or which Grantee dealt on behalf of the Company; whose dealings with the Company were coordinated or supervised by Grantee; about whom Grantee obtained confidential information in the ordinary course of business as a result of such employee’s association with the Company; and/or who receives products or services authorized by the Company, the sale or provision of which results or resulted in compensation, commissions, or earnings for Grantee within two years prior to the date of the Date of Termination.
