During the Notice Period, ▇▇▇▇▇▇▇ agrees not to (a) become employed by, or provide any services for the benefit of, any person or entity other than ▇▇▇▇▇▇▇, (b) advise those Nicolet customers with whom ▇▇▇▇▇▇▇ has or had Material Contact (as defined in Section 16 below) that ▇▇▇▇▇▇▇’s employment at Nicolet will terminate or that Grantee intends to provide services on behalf of another person or entity after the end of the Notice Period, or (c) take any other action that is in violation of this Section.
Material Contact is defined as: (a) Participant having direct contact with the employee, independent contractor, or agent in connection with Participant’s performance of Company job duties; (b) Participant coordinating or supervising the work of the employee, independent contractor, or agent on behalf of the Company; and/or (c) Participant obtaining confidential information about the employee, independent contractor or agent in the ordinary course of Company business.
Following the Participant’s separation of employment from the Company, this non-solicitation covenant shall only apply to employees, independent contractors or agents with whom the Participant had Material Contact during the last twenty-four (24) months of Participant’s employment with the Company.
