Material Customer Contracts definition

Material Customer Contracts has the meaning set forth in Section 3.10(a)(i).

Material Customer Contracts means the agreements entered into with the Material Customers.

Material Customer Contracts shall have the meaning given in Section 5.26(a).

• Except as would not be expected to have a Material Adverse Effect, Company, its Subsidiaries, and each Managed Company have been and are in compliance with the terms of all Material Customer Contracts.

• None of the Material Customer Contracts, nor any interest therein, has been previously assigned or pledged by any of the Group Companies except such assignments or pledges as shall be fully released prior to the Closing.

More Definitions of Material Customer Contracts

Material Customer Contracts means those contracts, licenses and other agreements between the Company, or any of its Subsidiaries, and any customer of the Company, or any of its Subsidiaries, pursuant to which the Company, or any of its Subsidiaries, provides database and decision-support software services and from which the Company expects to receive revenue during any fiscal year in excess of an amount equal to five percent (5%) of the Company's total revenue for the immediately preceding fiscal year.
