As a consequence of Employee’s acquisition or anticipated acquisition of Confidential Material, Employee shall occupy a position of trust and confidence with respect to the affairs and business of Company.
All items described in the foregoing sentence are defined herein as "Confidential Material." Employee further acknowledges that the Confidential Material has been developed or acquired by the Employer through expenditure of substantial time, effort and money, and that the Confidential Material provides Employer with an advantage over competitors.
