Material Impact definition

Material Impact means any impact, effect or result that is material and adverse to the Wind Project and the Project Company and its Subsidiaries, taken as a whole, or the ownership of the Acquired Interests.
Material Impact means, with respect to a Party, a material adverse impact on the regulatory status or the commercial sales of the Product in such Party’s applicable territory.
Material Impact means with respect to a Product, a material adverse impact on the development, regulatory status or commercial sale of the Product.

Examples of Material Impact in a sentence

  • Each of the Material Contracts shall be in full force and effect and shall not have been amended, waived (in whole or in part), supplemented or otherwise modified in any manner that has a Material Impact without the prior written approval of Purchaser (which approval shall not be unreasonably withheld or delayed).

  • For purposes of Sections 6.2, 6.3 and Exhibit 2.1, a "Material Impact" shall be any matter or matters having an adverse impact or economic consequence that exceeds Three Hundred Sixty Thousand Dollars ($360,000).

  • Flextronics shall, within two (2) Business Days of receipt of the ECO, respond to the ECO on an ECO Material Impact Form, in the form as set out in the applicable VSHA and which will identify the new Product Price (including any impact to the Material Cost), if applicable, and any associated Unique Equipment.

More Definitions of Material Impact

Material Impact means any impact, effect or result that is material and adverse to the Wind Projects, the Transmission Project, and Topco and its Subsidiaries, taken as a whole, or the ownership of the Acquired Interests.
Material Impact means costs or risks that significantly affect, or would reasonably be expected to have significant effect, on the debt and financial obligation limit prescribed by legislation and regulation.
Material Impact means a significant and ongoing adverse financial or operational impact that is of sufficient magnitude that, if known at the time hereof, a reasonable businessperson would not have proceeded with the transactions contemplated by this Agreement, after weighing the anticipated benefits of such transactions against the adverse consequences of the proposed condition or actions. The party asserting that a Material Impact has occurred shall bear the burden of proof.
Material Impact means any of the following: (a) a Material Adverse Effect, or (b) a material adverse effect on the value of any Specified Product, the Collateral, or the Specified Product IP, in each case, taken as a whole; provided, that solely for purposes of Section 8.01(m), (1) a material adverse effect under the foregoing clause (b) shall arise [**].
Material Impact means, when used in connection with an entity, any change, event, violation, inaccuracy, circumstance or effect that is, or is reasonably likely to be, materially adverse to (i) the business, assets (including intangible assets), capitalization, regulatory environment, financial condition, operations or results of operations of such entity, or (ii) the ability of the parties hereto to consummate the sale of the Sale Shares in accordance with the terms hereof within the time frame such sale would otherwise be consummated in the absence of such change, event, violation, inaccuracy, circumstance or effect, except to the extent that any such change, event, violation, inaccuracy, circumstance or effect set forth in (i) or (ii) above, directly and primarily results from changes in general economic conditions or changes affecting the industry generally in which such entity operates (provided that such changes do not affect such entity in a disproportionate manner). Accordingly, reference to "material" and "materially" shall mean something having a Material Adverse Effect or Material Impact, (as the case may be);
Material Impact means a material variance from the Bank's strategic plan submitted pursuant to this Agreement, as the term "significant deviation" is further described in PPM 5400-9, Appendix B.
Material Impact shall have the meaning set forth in Section 6.05(a).
