Material Licenses definition

Material Licenses shall have the meaning set forth in Section 3.2(h).

Material Licenses means the licenses set forth on Schedule 5.04.

Material Licenses means all material licenses, permits and other authorizations issued by any Governmental Authority for the operation of the Business or any other business conducted by any Borrower, and all applications therefor, together with any renewals, extensions or modifications thereof and additions thereto.

All material Permits and material Licenses are valid and in full force and effect and no material Permit or material License is the subject of a limitation, proceeding for suspension or revocation or similar proceedings. All material Permits and material Licenses will remain in full force and effect immediately after giving effect to the transactions contemplated hereby and no notice or additional filings must be made in connection therewith.

Material Licenses. Substantial Portion" means any portion of the Backbone the failure of which to operate will have the effect of reducing Operating Cash Flow for the Borrower and its Original Restricted Subsidiaries by more than ten percent (determined by the most recently completed 12 month period).
