Each of the Material Real Property Leases relating to the Leased Real Property is valid, binding and enforceable in accordance with its terms and is in full force and effect.
The Company or one of the Company Subsidiaries, as the case may be, has the full right to exercise any Options contained in the Material Real Property Leases on the terms and conditions contained therein and, to the Company’s Knowledge, upon due exercise would be entitled to enjoy the full benefit of such Options with respect thereto.
Neither the Company nor any Company Subsidiary has leased or subleased any parcel or any portion of any parcel of any Material Real Property Leases to any other Person and no other Person has any rights to the use, occupancy or enjoyment thereof pursuant to any Material Real Property Leases, nor has the Company or any Company Subsidiary assigned its interest under any Material Real Property Leases to any Third Party.

The Company has made available to Parent materially true, correct and complete copies of such Material Real Property Leases on or prior to the date hereof.
