Supplier represents and warrants that all Products sold to Buyer meet the Maximum Concentration Values and Materials Declaration Requirements unless Buyer and Supplier agree in writing that (1) RoHS Directive explicitly exempts the Product in question or (2) the RoHS Directive explicitly exempts the exceedance of the Maximum Concentration Values in the particular Product or component thereof.
Company represents and warrants that the Product is not subject to Materials Declaration Requirements.
Where Company notifies Jabil in writing that the Product is subject to Materials Declaration Requirements, Jabil will use Commercially Reasonable Efforts to assist Company in procuring parts, components and/or materials that are compliant with Materials Declaration Requirements.
