Maximum Annual Bonus definition

Maximum Annual Bonus has the meaning set forth in Section 3b.
Maximum Annual Bonus means the maximum bonus amount achievable by Executive under a Bonus Plan for a given Annual Performance Period; provided, that in no event shall such amount be less than the amount required to be paid pursuant to Section 2.2(b).

  • Executive acknowledges and agrees that, of the total payments and benefits to which Executive would be entitled under Section 5(B) above, an amount equal to one times Executive’s annualized Base Salary, plus the Executive’s full Maximum Annual Bonus for the year in which the Termination Date occurs, shall be deemed to be paid on account of and in consideration for the covenants of Executive contained in clauses (A), (B) and (C) of this Section 7.
