The payments from Sponsor for the services provided by Medical service provider and Principal Investigator hereunder (i) represent the fair market value for such services, (ii) were negotiated in an arm’s length transaction, and (iii) have not been determined in a manner that takes into account the volume or value of any referrals or business otherwise generated between the parties.
Neither Medical service provider nor Principal Investigator shall have any authority to represent, bind or act on behalf of Sponsor.
If at any time Medical service provider or Principal Investigator have reason to believe that the Study will not be initiated or completed as per the schedule initially anticipated and agreed upon by the parties, Sponsor will be advised, in writing, of the reason(s) and length of additional time required to commence or complete work, and this Agreement may be terminated by Sponsor as provided in Article 6.
Medical service provider and Principal Investigator hereby grant their consent to Sponsor to assign and/or transfer, as the case may be, all or any of its rights and obligations under this Agreement to an affiliated company and/or to a contract research organization (CRO).
It is agreed by the parties that Medical service provider and Principal Investigator are acting in the capacity of independent contractors hereunder and not as employees, agents or joint venturers of or with Sponsor.
