Upon issuance in accordance with, and payment pursuant to, the terms hereof and the Warrant Agreement and the Amended and Restated Memorandum and Articles of Association of the Company (as applicable), as the case may be, each of the Securities (after issuance) will be duly and validly issued, fully paid and non-assessable.
