Merger Anniversary Date definition

Merger Anniversary Date means the date that is twelve (12) months after the date of the Merger Approval.
Merger Anniversary Date means the later of (a) the date which is the first anniversary of the date on which the Merger is consummated and (b) the date Parent has received the Additional Company Financial Statements.
Merger Anniversary Date means the date that is twelve (12) months after the date of the Merger Closing Date.​

Related to Merger Anniversary Date

  • Anniversary Date means each anniversary of the Closing Date.

  • First Anniversary means the first anniversary of the Closing Date.

  • Initial Vesting Date means the date occurring one (1) year after (check one):

  • Ending Date means the last day of each Offering Period.

  • Offer Closing Date has the meaning set forth in Section 1.01(f).

  • Anniversary means each annual anniversary date of the Effective Date during the Term (as defined in Section 5 hereof).

  • Anniversary Year The one-year period beginning on the Closing Date and ending on the first anniversary thereof, and each subsequent one-year period beginning on the day after the end of the preceding Anniversary Year and ending on next succeeding anniversary of the Closing Date.

  • Applicable Anniversary of the Commencement Date means the fifth (5th) anniversary of the Commencement Date.

  • Merger Valuation Period for any Merger Event means the five consecutive Trading Day period immediately preceding, but excluding, the effective date for such Merger Event.

  • Adoption Date means the date the Plan is first approved by the Board or Compensation Committee.

  • Initial Optional Termination Date The first Distribution Date on which the aggregate Stated Principal Balance of the Mortgage Loans is equal to or less than 10% of the aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.

  • Effective Termination Date has the meaning set forth in Section 10(b) hereof.

  • Scheduled Commitment Termination Date means May 24, 2016, as such date may be extended by mutual agreement of the parties hereto (each, in their sole and absolute discretion) pursuant to Sections 2.21 and 12.01(b).

  • Stock Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) under the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such.

  • Postponed Retirement Date means the first day of the month coincident with or next following a Participant’s date of actual retirement which occurs after his Normal Retirement Date.

  • Revolver Termination Date means the date that is the four (4) year anniversary of the Restatement Effective Date, unless extended with the consent of each Lender in its sole and absolute discretion.

  • Initial Termination Date has the meaning set forth in Section 8.2(a).

  • Commitment Termination Date means the earlier of (a) the Maturity Date and (b) the earlier termination in whole of the Commitments pursuant to Section 2.04 or Article VII.

  • Exit Date means the date on which the insurance cover of the Scheme Member ceases due to occurrence of any of the following events:

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • IPO Date means the date of the underwriting agreement between the Company and the underwriter(s) managing the initial public offering of the Common Stock, pursuant to which the Common Stock is priced for the initial public offering.

  • Average Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock, as such price is reported on the NYSE Composite Transaction Tape (as reported by Bloomberg Financial Markets or such other source as the parties shall agree in writing), for the 15 trading days ending on the third trading day immediately preceding the Effective Time.

  • IPO Effective Date means the date upon which the Securities and Exchange Commission declares the initial public offering of the Company's common stock as effective.

  • Change in Control Date means the date on which a Change in Control occurs.
