Milestone Deadline definition
Milestone Deadline means the deadline for Seller to achieve each Operational Milestone as set forth in Exhibit 3.
Milestone Deadline means, with respect to each Milestone, the deadline for each achievement of that Milestone set forth in Table 1 of Exhibit 8, including the NTP2 Conditions Deadline, the Service Commencement Deadline, the Final Acceptance Deadline and the Long Stop Date.

Failure by Company to complete a Milestone by the applicable Milestone Deadline alone shall not constitute a Default by Company under this Agreement.
However, City shall have the right to deliver a written notice to Company at any time after Company fails to complete a Milestone by a Milestone Deadline (the “Milestone Failure Notice”), and Company shall then use commercially reasonable efforts to complete the applicable Milestone promptly following receipt of a Milestone Failure Notice.
