Millennium Compliant definition
Millennium Compliant means: (a) the functions, calculations, and other computing processes of the Software (collectively, "Processes") perform as designed regardless of the date in time on which the Processes are actually performed and regardless of the date input to the Software, whether or not the dates include leap years; (b) the Software can accept, store, sort, extract, sequence, and otherwise manipulate date inputs and date values, and return and display date values, as designed and in a materially accurate manner, regardless of the dates used or format of the date input; (c) the Software will function without interruptions caused by the date in time on which the Processes are actually performed or by the date input to the Software; (d) the Software accepts and responds to four digit year date input in a manner that resolves any material ambiguities as to the century in an accurate manner; and (e) the Software displays, prints and provides electronic output of date information in ways that are unambiguous as to the determination of the century.
Millennium Compliant means the ability of Systems to provide the following functions, without human intervention, individually and in combination with other products or systems: (i) consistently handle data information before, during and after January 1, 2000, including but not limited to accepting data input, providing data output and performing calculations on dates or portions of dates; (ii) function accurately and without interruption before, during and after January 1, 2000 (including leap year computations), without any change in operations associated with the advent of a new century; (iii) respond to two-digit input in a way that resolves any ambiguity as to century in a disclosed, defined and predetermined manner; and (iv) store and provide output of date information in ways that are unambiguous as to century.
Millennium Compliant means the ability when used individually or in conjunction with any other systems, software or equipment to: (a) accurately process Date Data before, after and across December 31, 1999 and throughout the year 2000 and beyond (including by recognizing the year 2000 as a leap year); (b) provide correct results when moving backwards and forwards between the 20th and 21st century; and (c) function without error or without interruption related to or caused by Date Data. For the purposes of this definition, "Date Data" means data which represents or references dates in the same and/or different centuries.

Seller has taken those steps outlined on SCHEDULE 4.22 to determine whether its information systems used in connection with the Business are Millennium Compliant.
The YieldUP SEC Reports describe the efforts undertaken to date by YieldUP with a view to assuring that its business is Millennium Compliant (as hereinafter defined) prior to December 31, 1999.
Any modification to make the Services Millennium Compliant shall be made by M&I at no additional charge.

Millennium Compliant means the ability of Systems to provide the following functions, without human intervention, individually and in combination with other products or systems currently in use by Seller: (a) consistently handle date information before, during, and after January 1, 2000, including but not limited to accepting date input, providing date output, and performing calculations on dates or portions of dates; (b) function accurately and without interruption before, during, and after January 1, 2000 (including leap year computations), without any change in operations associated the advent of a new century; (c) respond to two-digit date input in a way that resolves any ambiguity as to century in a disclosed, defined, and predetermined manner; and (d) store and provide output of date information in ways that are unambiguous as to century.
Millennium Compliant means the ability of the Licensed Software to provide all of the following functions: (a) consistently handle date information before, during, and after January 1, 2000, including but not limited to accepting date input, providing date output, and performing calculations on dates or portions of dates; (b) function accurately, in accordance with its applicable General Documentation, and without interruption before, during, and after January 1, 2000, without any change in operations associated with the advent of the new century; (c) respond to two- digit year-date input in a predefined and consistent manner; and (d) store and provide output of date information in ways that are unambiguous as to century.
