Monthly Compensation definition

Monthly Compensation means the Participant’s Annual Compensation divided by 12.
Monthly Compensation means the monthly retainer and the aggregate of all other fees and retainers, including, but not limited to, meeting fees, committee fees and committee chairperson fees to which a Director is entitled for services rendered to the Company as a Director during the month, as established from time to time by resolution of the Board of Directors. For avoidance of doubt, Monthly Compensation does not include stock options granted to Directors or the Shares allocated pursuant to Section 5 of this Plan.

Examples of Monthly Compensation in a sentence

  • Lump sum payments in lieu of wages will be included in Monthly Compensation for pension purposes.

  • If a Generator Asset subsequently cures its breach, the ISO will issue a refund in the amount of the Monthly Compensation multiplied by the number of months remaining until May 31, 2018.

  • Failure of a Generator Asset that has been successfully commissioned pursuant to this Section III.K.5 to meet any of the obligations outlined above shall result in a charge, calculated as follows: Monthly Compensation x the number of months between date of the breach and May 31, 2018 Monthly Compensation shall mean the total payment made to the Generator Asset pursuant to Section III.K.5(d) divided by the number of months between the commission date and May 31, 2018.

Monthly Compensation means one-twelfth of a member's annual
Monthly Compensation means one twelfth of the sum of (i) the Executive’s Salary, and (ii) the Average Incentive Bonus.

Monthly Compensation means the Eligible Employee’s monthly base salary as in effect on the date that the individual’s employment as an active employee ceases. For purposes of the preceding sentence, “monthly base compensation” shall mean:
Monthly Compensation means one-twelfth of the total of all cash compensation, including wages, salary, and any other incentive compensation, bonuses, commissions and non-salary and non-wage cash compensation, that was paid as consideration for the Employee’s services during the year immediately preceding the Termination Date, or that would have been so paid at the Employee’s usual rate of cash compensation if the Employee had worked a full year; provided, that for purposes of determining the amount of the Monthly Compensation with respect to bonuses, such bonuses shall be valued at the greater of (i) the target bonus for the year in which the Termination Date occurs or (ii) the average bonus paid to the Employee for each of the three years immediately preceding the year in which the Termination Date occurs; and provided further that cash compensation shall not include or be deemed or interpreted to include any cash settled stock awards or cash valued by reference to the publicly traded stock price of the Company or any of its subsidiaries, including, for the avoidance of doubt, cash paid under the Company’s long-term incentive plan. Notwithstanding the foregoing, to the extent that any element of compensation used in calculating Monthly Compensation is decreased with respect to an Employee after a Change of Control or within six months prior to a Change of Control, the amount of such element as in effect immediately prior to such decrease with respect to such Employee shall be used in such calculation.
