Monthly Forecast definition

Monthly Forecast has the meaning set forth in Section 4.3(b).
Monthly Forecast shall have the meaning set forth in Section 6.2.
Monthly Forecast means a business plan and projected operating budget for the Issuer Related Parties and their respective Subsidiaries for a period of six (6) months after the Closing Date, broken down by month, including income statements, balance sheets, cash flow statements and projected capital expenditures, a line item for total available liquidity for the period covered thereby and setting forth the anticipated uses of the proceeds of the Notes for such period (which shall be consistent with Section 6.6 hereof) and such other business plan metrics as are mutually agreed by the chief financial officer of the Issuer and the Required Note Purchasers. As part of the Monthly Forecast, the chief financial officer of the Issuer shall certify that the Monthly Forecast has been prepared in good faith on the basis of the assumptions stated therein, which assumptions were believed to be reasonable at the time of preparation. The Monthly Forecast shall be acceptable to the Required Note Purchasers.

  • In the case of decreases or increases in any previously forecasted amounts beyond the foregoing threshold levels, GCT and DISTRIBUTOR shall negotiate with each other in good faith to revise the Monthly Forecast Report.

More Definitions of Monthly Forecast

Monthly Forecast has the meaning set forth in Section 4.3(b). “Moody’s” means ▇▇▇▇▇’▇ Investors Service, Inc., or its successor.
Monthly Forecast means the management presentations with details of P&L, Revenues, Expenses, Working Capital with Cash position forecast that is provided by the Borrower to the Lender in accordance with Clause 4.2(d) during the Availability Period and, as approved by the Lender, from time to time.
Monthly Forecast means a three-month rolling Forecast, delivered on the first day of each calendar month, e.g. on August 1, ORBITZ will deliver a forecast for August, September and October.
Monthly Forecast means the management presentations with details of P&L, Revenues, Expenses, Working Capital with Cash position forecast that is provided by the Borrower to the Lender in accordance with Clause ‎4.2(d) during the Availability Period and, as approved by the Lender, from time to time.
Monthly Forecast means a business plan and projected operating budget for the Borrower and its Subsidiaries for a period of four (4) months after the Petition Date, broken down by month, including income statements, balance sheets, cash flow statements, projected capital expenditures, asset sales, cost savings and head count reductions, targeted facility closures, targeted facility idlings and other milestones, a line item for total available liquidity for the period covered thereby and setting forth the anticipated uses of the Loan proceeds for such period (which shall be consistent with Section 5.08 hereof) and such other business plan metrics as are mutually agreed by the chief financial officer of Borrower and the Administrative Agent. As part of the Monthly Forecast, the chief financial officer of Borrower shall certify that the Monthly Forecast has been prepared in good faith on the basis of the assumptions stated therein, which assumptions were believed to be reasonable at the time of preparation. The Monthly Forecast shall be reasonably acceptable to the Administrative Agent and the Required Lenders.
Monthly Forecast means the monthly financial reporting package prepared by MSPL for cost incurred in Singapore, China and United States (and reciprocally by TZE for its portion of the Non-Labor Cost in Philippines) that includes actual and forecast Labor Cost and Non-Labor Cost for the preceding calendar month and following three (3) calendar months (in the case of Monthly Forecast of provided in September, following four (4) calendar months). Commencing from the Effective Date, TZE and MSPL shall provide a Monthly Forecast report each month, delivered between the 3rd and 5th Business Day of the month, including actual spend for the preceding month and updated forecasts of the following three months (in the case of Monthly Forecast of provided in September, following four months). Within five (5) Business Days upon receiving the Monthly Forecast (the “Monthly Forecast Acceptance Period”), TZE and MSPL shall, either (i) sign an acknowledgement and acceptance letter of such Monthly Forecast; or (ii) propose revisions to the terms of such Monthly Forecast. If TZE or MSPL fails to deliver an acknowledgement and acceptance letter or issue a notice of rejection or revisions proposal within such Monthly Forecast Acceptance Period, the Monthly Forecast shall be deemed approved by TZE or MSPL. TZE and MSPL agree that cumulative actual spend up to each Monthly Forecast shall not exceed the year-to-date portion of the Annual Forecast without the prior written approval of (i) TZE, with respect to the respective Labor Cost and Non-Labor Cost Managed by Maxeon, and/or (ii) MSPL, with respect to the respective Non-Labor Cost Managed by TZE.
