Mutual Releases definition

Mutual Releases means, together, the release of the Company Released Parties pursuant to section 5.2 of the Plan of Arrangement and the release of the Noteholder Released Parties pursuant to section 5.3 of the Plan of Arrangement.

Mutual Releases means the Mutual Releases executed concurrently with the execution and delivery of this Agreement, but to be effective and reaffirmed as of the Closing, by Seller, the Company and each Officer and Manager.

Mutual Releases has the meaning ascribed thereto in Section 3.6.

• The following provisions of the Separation Agreement are hereby incorporated herein by reference, mutatis mutandis, except to the extent inconsistent with any provision herein: Article IV (Mutual Releases: Indemnification), Article VI (Exchange of Information; Confidentiality), Article VII (Dispute Resolution), Article VIII (Further Assurances; Additional Covenants) and Article X (Miscellaneous).

• Each party and its counsel have reviewed this Agreement and the Mutual Releases and have been provided the opportunity to review this Agreement and the Mutual Releases and accordingly, the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or the Mutual Releases.

• The following provisions of the Separation Agreement are hereby incorporated herein by reference, and unless otherwise expressly specified herein, such provisions shall apply as if fully set forth herein mutatis mutandis: Article IV (relating to Mutual Releases, Indemnification) Article VI (relating to Exchange of Information; Confidentiality); Article VII (relating to Dispute Resolution); Article VIII (relating to Further Assurances and Additional Covenants); and Article X (relating to Miscellaneous).

• The covenants, representations and warranties contained in Sections 6 (Intellectual Property), 7 (Worldwide Mutual Releases), 10 (Future Disputes), and 11 (Termination of Agreement) hereof shall become effective only upon the consummation of the transactions contemplated by this Settlement at the Closing.

Mutual Releases means Mutual Releases in the form attached hereto as Exhibit A-1 or Exhibit A-2 that are either (i) executed concurrently with the execution and delivery of this Agreement, but to be effective and reaffirmed as of the Closing, by Sellers, each Manager and each Officer, on one hand, and Buyer and Crude JV, on the other hand, or (ii) delivered at the Closing pursuant to Section 6.5(b).

Mutual Releases has the meaning ascribed thereto in Section 7.10 [Resignations];

Mutual Releases means the mutual releases in favour of ITME delivered by certain ITME officers at the Effective Time.

Mutual Releases means Mutual Releases in the form attached hereto as Exhibit D-1 or D-2 that are either (i) executed concurrently with the execution and delivery of this Agreement, but to be effective and reaffirmed as of the Closing, by Bear Cub, each Officer, each director, officer and manager of Bear Cub, and each director of any Pueblo Company, on one hand, and the Buyers and the Pueblo Companies, on the other hand, or (ii) delivered at the Closing pursuant to Section 6.6(b).

Mutual Releases has the meaning set forth in Section 1.5(b)(xiii).

Mutual Releases means Mutual Releases in the form attached hereto as Exhibit A-1 or A-2 that are either (i) executed concurrently with the execution and delivery of this Agreement, but to be effective and reaffirmed as of the Closing, by Seller, each Officer, each Manager, each officer and director of Seller, and each director of any TexStar Company, on one hand, and the Partnership, Buyer and the TexStar Companies, on the other hand, or (ii) delivered at the Closing pursuant to Section 5.6(b).

Mutual Releases means the comprehensive releases to be executed by the Parties at the Closing, including the Amelio Group Releases in the form attached as Exhibit II to this Agreement and the STF Group Releases in the form attached as Exhibit III to this Agreement.
