Net Debt Statement definition

Net Debt Statement means the statement as at the Completion Date in the form set out in Part 3 of Schedule 9 which is to be prepared in accordance with the provisions of Parts 1 and 2 of that Schedule;

Net Debt Statement means, in relation to each of the Company and the US Company, the statement of Net Debt prepared in accordance with Clause 7.1;

Net Debt Statement has the meaning set forth in Section 2.4(a) (Net Debt Statement; Net Debt Dividend);

Examples of Net Debt Statement in a sentence

• The Buyer will, as soon as reasonably practicable after the Completion Date, prepare a closing balance sheet from which a draft of the Net Debt Statement in the format set out in Part 3 of this Schedule and on the basis of preparation set out in Part 1 of this Schedule and a draft of the Working Capital Statement in the format set out in Part 4 of this Schedule and on the basis of preparation set out in Part 1 of this Schedule shall be derived.

• The Net Debt Statement will include all elements of the Net Debt Amount as set out in the pro forma in Part 3 of this Schedule 9 which, for illustrative purposes, has been populated with the relevant financial information as at 31 October 2014.

• The Seller shall deliver to the Purchasers within fifteen (15) Business Days after the end of each reporting quarter of the Seller starting from 30 September 2016, the Seller’s good faith drafts of the Estimated Working Capital Statement and the Estimated Net Debt Statement (under the assumption, for the purposes of such draft statements, that the Completion Date will be on the first (1st) Business Day of the reporting month during which the draft statements are prepared).

• In a perfect world, the Net Debt Statement would have connected the dots between that information and the pro forma net debt figure in slide 27 of the Results Presentation.
