The Issuer must ensure that the ratio of Consolidated EBITDA to Net Finance Charges is not, in respect of each Relevant Period, less than 1.5:1.
For the avoidance of doubt, on the two Calculation Dates on which the EBITDA calculation is deemed to be increased by the Equity Cure Amount the pro forma re-calculation will not double count the application of the Equity Cure Amount in prepayment, purchase and/or redemption described in paragraph (a) above through a reduction of Total Net Debt and/or Net Finance Charges.
The Parent undertakes that the ratio of Consolidated EBITDA to Net Finance Charges will not, in respect of each Reporting Period, be less than 1.00:1 (such ratio being the Interest Coverage Ratio).
The Original Borrower shall procure that the ratio of Consolidated Profit Before Interest and Tax for each period of twelve months ending at the end of any Financial Year and at the end of any Financial Half Year to Consolidated Net Finance Charges for the same period shall not be less than 3.0:1.0.
Subject to the above, the Net Interest Bearing Debt, Net Finance Charges, and EBITDA of the Group shall be calculated as set out in sub-clause (b) below.
