Net Investments definition
Net Investments means the excess of (i) the aggregate of all Investments made by the Company or a Subsidiary thereof on or after the Issue Date (in the case of an Investment made other than in cash, the amount shall be the fair market value of such Investment) over (ii) the sum of (A) the aggregate amount returned in cash on such Investments whether through interest payments, principal payments, dividends or other distributions, (B) the net cash proceeds received by the Company or such Subsidiary from the disposition of all or any portion of such Investments (other than to a Subsidiary of the Company), and (C) the fair market value of any Unrestricted Subsidiary that is redesignated by the Company as a Subsidiary, as determined in good faith by the Board of Directors of the Company; provided, however, that with respect to all Investments made in Unrestricted Subsidiaries, the sum of clauses (A), (B) and (C) above with respect to such Investments shall not exceed the aggregate amount of all Investments made in all Unrestricted Subsidiaries.

Net Investments means the excess of (i) the aggregate of all Investments made by either of the Issuers or any of their Subsidiaries on or after the Issue Date (in the case of an Investment made other than in cash, the amount shall be the fair market value of such Investment) over (ii) the sum of (A) the aggregate amount returned in cash on such Investments whether through interest payments, principal payments, dividends or other distributions, (B) the net cash proceeds received by either of the Issuers or their respective Subsidiaries from the disposition of all or any portion of such Investments (other than to a Subsidiary of either of the Issuers) and (C) the fair market value of any Unrestricted Subsidiary that is redesignated by either of the Issuers as a Subsidiary, as determined in good faith by the Board of Directors of the respective Issuer; provided, however, that with respect to all Investments made in Unrestricted Subsidiaries, the sum of clauses (A), (B) and (C) above with respect to such Investments shall not exceed the aggregate amount of all Investments made in all Unrestricted Subsidiaries.
Examples of Net Investments in a sentence
On the date on which the Net Investments and all Aggregate Unpaids have been paid in full, any funds remaining on deposit in the Spread Account shall be paid to the Transferor.
On each Remittance Date, all funds on deposit in the Excess Funding Account shall be available to make any payments required to be made from the Excess Funding Account in accordance with Section 2.5. On the date on which the Net Investments and all Aggregate Unpaids have been paid in full, any funds remaining on deposit in the Excess Funding Account shall be paid to the Transferor.
In the event of an irreconcilable shortfall were the Nominee to default, all those investing in the Oxford Capital Growth EIS will share in that shortfall pro-rata to their Net Investments.
No later than 120 (one hundred and twenty) days from the date Safety Net Investments are made by any of the Parties, Tower shall prepare and file a registration statement on Form F-3 covering a resale offering by such Parties of securities purchased in the framework of a Safety Net Investment and shall use its reasonable efforts to cause the registration statement to be declared effective by the SEC.
In addition, amounts on deposit in the Collection Account may be applied toward payments to be made pursuant to Section 2.4. On the date on which the Net Investments and all Aggregate Unpaids have been paid in full, any funds remaining on deposit in the Collection Account shall be paid to the Transferor.

Net Investments means the sum of the cash amounts paid to the Transferor for each Incremental Transfer by each of the Purchaser Agents, on behalf of its related Purchaser or its related Bank Investors, less the aggregate amount of Collections received and applied by the applicable Purchaser Agent to reduce the applicable Net Investment pursuant to Section 2.5, 2.6 or 2.9 hereof; provided, however, that each Net Investment shall be restored and reinstated in the amount of any Collections so received and applied if at any time the distribution of such Collections is rescinded or must otherwise be returned for any reason; and, provided, further, that, in the case of the Enterprise Bank Investors, the related Net Investment may be increased by the amount described in Section 9.7(d) hereof as described therein.
Net Investments means investments in intangible assets, property, plant and equipment and investment property less income from disposals;

Net Investments means at any time and with respect to any Loan Party, the sum of (i) aggregate costs of the investments made by such Loan Party in Subsidiaries who are not Loan Parties (including, if required by Section 4.5 of the Security Agreement, the amount of the excess above $2,500,000 in book value of Collateral which is located outside the United States of America where the actions required by Section 4.5 of the Security Agreement have not been taken); minus (ii) all dividends, returns of capital and other distributions by such Subsidiaries to the applicable Loan Party made after the Effective Date; plus (iii) the principal amount of the loans and advances by the applicable Loan Party to such Subsidiaries that are then outstanding; plus (iv) the then outstanding amount of all Indebtedness of the type described in clauses (a) through (e), (h), (k), (l) and (n) of the definition thereof Guaranteed by the applicable Loan Party of Indebtedness of such Subsidiaries; plus (v) the aggregate amount paid by the applicable Loan Party under Guarantees of obligations (other than Indebtedness) of such Subsidiaries since the Effective Date);
Net Investments means the aggregate amount of all Investments made by Borrower or any Subsidiary thereof since September 30, 1999, to or in any Venture or non-domestic Subsidiary minus the aggregate amount of cash dividends, assets, and property transferred or paid to Borrower or any of its domestic Subsidiaries (other than as repayment of a loan) since September 30, 1999, from any Venture or non-domestic Subsidiary of Borrower. For purposes of valuing the amount of any Investment made in the form of assets or property (other than cash), the amount of such Investment shall be valued at the book value of the asset or property at the time the Investment is made. For purposes of valuing the amount of any assets or property transferred to Borrower or any of its domestic Subsidiaries from any Venture or non-domestic Subsidiary of Borrower, the amount thereof shall be valued at the book value of the asset or property at the time such asset or property is transferred to Borrower or its domestic Subsidiary.
Net Investments means, with respect to any referenced category or group of Investments, (x) the aggregate amount of such Investments made by the Company and its Restricted Subsidiaries (to the extent of the Company's proportionate interest in such Restricted Subsidiaries) on or subsequent to the Issue Date, minus (y) the aggregate amount of any dividends, distributions, sales proceeds or other amounts received by the Company and its Restricted Subsidiaries (to the extent of the Company's proportionate interest in such Restricted Subsidiaries) in respect of such Investments on or subsequent to the Issue Date; and, in the event that any such Investments are made, or amounts are received, in property other than cash, such amounts shall be the fair market value of such property.
