Net Investments definition

Net Investments means the excess of (i) the aggregate of all Investments made by the Company or a Subsidiary thereof on or after the Issue Date (in the case of an Investment made other than in cash, the amount shall be the fair market value of such Investment) over (ii) the sum of (A) the aggregate amount returned in cash on such Investments whether through interest payments, principal payments, dividends or other distributions, (B) the net cash proceeds received by the Company or such Subsidiary from the disposition of all or any portion of such Investments (other than to a Subsidiary of the Company), and (C) the fair market value of any Unrestricted Subsidiary that is redesignated by the Company as a Subsidiary, as determined in good faith by the Board of Directors of the Company; provided, however, that with respect to all Investments made in Unrestricted Subsidiaries, the sum of clauses (A), (B) and (C) above with respect to such Investments shall not exceed the aggregate amount of all Investments made in all Unrestricted Subsidiaries.

Net Investments means the excess of (i) the aggregate of all Investments made by either of the Issuers or any of their Subsidiaries on or after the Issue Date (in the case of an Investment made other than in cash, the amount shall be the fair market value of such Investment) over (ii) the sum of (A) the aggregate amount returned in cash on such Investments whether through interest payments, principal payments, dividends or other distributions, (B) the net cash proceeds received by either of the Issuers or their respective Subsidiaries from the disposition of all or any portion of such Investments (other than to a Subsidiary of either of the Issuers) and (C) the fair market value of any Unrestricted Subsidiary that is redesignated by either of the Issuers as a Subsidiary, as determined in good faith by the Board of Directors of the respective Issuer; provided, however, that with respect to all Investments made in Unrestricted Subsidiaries, the sum of clauses (A), (B) and (C) above with respect to such Investments shall not exceed the aggregate amount of all Investments made in all Unrestricted Subsidiaries.

  • On the date on which the Net Investments and all Aggregate Unpaids have been paid in full, any funds remaining on deposit in the Spread Account shall be paid to the Transferor.

Net Investments means the aggregate amount of all Investments made by Borrower or any Subsidiary thereof since September 30, 1999, to or in any Venture or non-domestic Subsidiary minus the aggregate amount of cash dividends, assets, and property transferred or paid to Borrower or any of its domestic Subsidiaries (other than as repayment of a loan) since September 30, 1999, from any Venture or non-domestic Subsidiary of Borrower. For purposes of valuing the amount of any Investment made in the form of assets or property (other than cash), the amount of such Investment shall be valued at the book value of the asset or property at the time the Investment is made. Net Investments means, with respect to any referenced category or group of Investments, (x) the aggregate amount of such Investments made by the Company and its Restricted Subsidiaries (to the extent of the Company's proportionate interest in such Restricted Subsidiaries) on or subsequent to the Issue Date, minus (y) the aggregate amount of any dividends, distributions, sales proceeds or other amounts received by the Company and its Restricted Subsidiaries (to the extent of the Company's proportionate interest in such Restricted Subsidiaries) in respect of such Investments on or subsequent to the Issue Date; and, in the event that any such Investments are made, or amounts are received, in property other than cash, such amounts shall be the fair market value of such property.
