Net Investments definition

Net Investments means the excess of (i) the aggregate of all Investments made by the Company or a Subsidiary thereof on or after the Issue Date (in the case of an Investment made other than in cash, the amount shall be the fair market value of such Investment) over (ii) the sum of (A) the aggregate amount returned in cash on such Investments whether through interest payments, principal payments, dividends or other distributions, (B) the net cash proceeds received by the Company or such Subsidiary from the disposition of all or any portion of such Investments (other than to a Subsidiary of the Company), and (C) the fair market value of any Unrestricted Subsidiary that is redesignated by the Company as a Subsidiary, as determined in good faith by the Board of Directors of the Company; provided, however, that with respect to all Investments made in Unrestricted Subsidiaries, the sum of clauses (A), (B) and (C) above with respect to such Investments shall not exceed the aggregate amount of all Investments made in all Unrestricted Subsidiaries.

Net Investments. 1. Definition
Net Investments means the value of Subscriber’s “Investments” (defined below) less the aggregate amount of any outstanding indebtedness incurred to acquire (or for the purpose of acquiring) such Investments.
