CHEMIA shall pay to GBLI an earned royalty (the “Earned Royalty”) on all Licensed Products sold or otherwise distributed by CHEMIA, in an amount equal to five percent (5%) of Net Sales.
Such royalty statement shall set forth the quantity of each item of the Licensed Products manufactured and sold during a given Contract Year, the Net Sales Price of the Licensed Products sold during the Contract Year, together with the Percentage Royalty, if any, payable to Licensor for the Contract Year and each sum of deductions and returns of Licensed Products.
Artist can terminate this Agreement if Company fails to pay Artist's Royalties when due or to accurately report Net Sales and the failure is not corrected within thirty days after notice from Artist.
