New Holder definition

New Holder or “New Holders” shall have the meaning given in the Preamble.
New Holder means any of the undersigned parties listed under Holder on a signature page hereto that is not a Prior Holder.
New Holder means each Person in whose name a New Note is registered.

Examples of New Holder in a sentence

  • Any notice required or permitted by the Agreement shall be given to New Holder at the address or facsimile number listed below New Holder’s signature below.

  • In the case of a sale of the Relevant Shares of a New Holder in accordance with this article, the Company is entitled to deduct and retain from the proceeds of sale, the costs of the sale as determined by the Company.

  • Unless the Directors determine otherwise, where a Divestment Notice is given to a New Holder in accordance with this article, then despite any other provision in this Constitution, the rights to receive payment of dividends and to vote attached to the Relevant Shares of that Member are suspended until the Relevant Shares are transferred to a new holder or that Member ceases to be a New Holder.

  • New Holder hereby (a) agrees that the Shares shall be bound by and subject to the terms of the Agreement and (b) adopts the Agreement with the same force and effect as if the New Holder were originally a party thereto.

  • New Holder is a Member who is the holder or a joint holder of a New Less than Marketable Parcel.

New Holder shall have the meaning given in the Preamble.

New Holder means any person owning or having the right to acquire New Registrable Securities or any assignee thereof in accordance with Section 1.13 hereof.
New Holder means any of the undersigned parties listed under Holder on a signature page hereto that is not a Prior Holder. “Ordinary Shares” shall mean, following the Merger Effective Time, the ordinary shares, par value $0.0001 per share, of the Company.
