New Transaction Documents definition

New Transaction Documents means the subscription agreement and other definitive transaction documents in relation to an investment into the Company for subscription of the Company’s Senior Preferred Shares or Class A Ordinary Shares (including the investment contemplated under the Term Sheet) by an investor (who becomes a party to this Agreement as an Investor by signing a Deed of Adherence), which are specified in the applicable subscription agreement to be “Transaction Documents”.
New Transaction Documents has the meaning set forth in Section 7.1A(a).
New Transaction Documents means this Agreement, the Securities (including the Guarantees), the Supplemental Indenture and the Joinders. The Securities will be sold to the Initial Purchasers without being registered under the Securities Act of 1933, as amended (the “Securities Act”), in reliance upon an exemption therefrom. The Issuer has prepared a preliminary offering circular dated July 11, 2019 (the “Preliminary Offering Circular”) and will prepare a final offering circular dated the date hereof (the “Offering Circular”) setting forth information concerning the Issuer, the Guarantors, the Securities, the Guarantees, the Collateral and the other Transaction Documents and Transactions. Copies of the Preliminary Offering Circular have been, and copies of the Offering Circular will be, delivered by the Issuer to the Initial Purchasers pursuant to the terms of this Agreement. The Issuer hereby confirms that it has authorized the use of the Preliminary Offering Circular, the other Time of Sale Information and the Offering Circular in connection with the offering and resale of the Securities by the Initial Purchasers in the manner contemplated by this Agreement. Capitalized terms used but not defined herein shall have the meanings given to such terms in the Preliminary Offering Circular. At the time when sales of the Securities were first made (the “Time of Sale”), or prior thereto, the Issuer had prepared the following information (collectively, the “Time of Sale Information”): the Preliminary Offering Circular, as supplemented and amended by the written communications listed on Annex A hereto.

  • In reliance upon the representations and covenants and acknowledgments of the Company and the Guarantors contained in this Agreement and subject to the terms and conditions contained herein, during the Forbearance Period, the Investor agrees to forbear from exercising its rights and remedies under the New Transaction Documents or applicable law, solely with respect to the Specified Defaults.

  • Any single or partial exercise of any right under this Agreement shall not preclude other or further exercise thereof or the exercise of any other right, and no waiver, amendment or other variation of the terms, conditions or provisions of this Agreement whatsoever shall be valid unless in writing signed by the Investor (or any other Person whose consent is required pursuant to the terms of the New Transaction Documents), and then only to the extent in such writing specifically set forth.

  • Except as specifically set forth in this Agreement, the WorldSpace Notes and the other New Transaction Documents (including, without limitation, the terms of any guaranty or grant of security set forth therein) shall remain in full force and effect and are hereby ratified and confirmed.

  • Notwithstanding the foregoing, the Company and the Guarantors wish (and the Investor agrees) to eliminate any possibility that any past conditions, acts, omissions, events or circumstances would impair or otherwise adversely affect the Investor’s rights, interests, security and/or remedies under the WorldSpace Notes and the other New Transaction Documents.

  • This Lease and the New Transaction Documents (as defined in the Master Agreement) and the exhibits and schedules hereto and thereto, embody the entire agreement and understanding of the parties hereto and supersede any and all prior agreements, arrangements and understandings relating to the matters provided for herein.


More Definitions of New Transaction Documents

New Transaction Documents means this Deed of Novation and Amendment and any other Transaction Document entered into, or to be entered into, on or about the date of this Deed of Novation and Amendment or otherwise in connection with the transactions contemplated by this Deed of Novation and Amendment (including the amendments to the Receivables Transfer Agreement and Trust Deed, the Schedule of Definitions and the Parent Undertaking Agreement) and “New Transaction Document” means any of them.
New Transaction Documents together means this Supplemental Agreement and the New Corporate Guarantee and “New Transaction Document” means any of them as the context may require.
New Transaction Documents means this Agreement, the Notes, the Forbearance Warrants, the Amended and Restated Guarantees and the Amended Security Documents.
New Transaction Documents means together the Second Supplemental Agreement, the Second Mortgage Addendum, the Deed of Confirmation and the DHT Corporate Guarantee.
New Transaction Documents means the First Deed of Termination, the Second Deed of Termination, the Third Deed of Termination, the Fourth Deed of Termination, the Fifth Deed of Termination, the New Option Agreement, the New Option Guarantee, the New Shareholders' Agreement, the New Share Sale and Purchase Agreement and the New Warranty and Indemnity Deed; "New Warranty and Indemnity Deed" means the warranty and indemnity deed dated on or around the date of this Agreement between the Agent and TNS Holding LLC;
New Transaction Documents means (a) this Agreement, (b) the Deed of Debenture Trust, (c) the U.S. Master Debenture, (d) each New Security Document, (e) the Security Trustee Agreement, (f) the Intercreditor Agreement, (g) any Incremental Loan Assumption Agreement, (h) the Pledge Agreement, (i) any other document that Parent and the Administrative Agent agree in writing to be a New Transaction Document for purposes of this Agreement and (j) any other document that amends, supplements, replaces or novates any of the above.
New Transaction Documents means the Amendment and Restatement Agreement and the Restated Credit Agreement (as defined in the Amendment and Restatement Agreement).
