Non-Competition Covenant definition

Non-Competition Covenant means that Executive shall not, without the written consent of the Bank, either directly or indirectly become an officer, employee, consultant, director, independent contractor, agent, joint venturer, partner or trustee of any savings bank, savings and loan association, savings and loan holding company, commercial bank, credit union, bank or bank holding company, any mortgage or loan broker or any other entity (excluding not-for-profit entities other than credit unions) that competes with the business of the Bank or any of their direct or indirect subsidiaries or affiliates that has a headquarters, or one or more offices, within the New York Counties of Dutchess, Putnam, Sullivan, Westchester, Rockland, Orange or Bronx, or the Connecticut County of Fairfield.
Non-Competition Covenant means the terms and promises set forth in Paragraph 2(f).
Non-Competition Covenant has the meaning set forth in Section 3.2.2.

  • Accordingly, the Non-Competition Covenant shall be deemed to have the duration specified in this paragraph (a) computed from the date the relief is granted but reduced by the time between the period when the Restrictive Period began to run and the date of the first violation of the Non-Competition Covenant by the Covered Executive.

  • If the Covered Executive violates the Non-Competition Covenant and the Employer brings legal action for injunctive or other relief, the Employer shall not, as a result of the time involved in obtaining such relief, be deprived of the benefit of the full period of the Non-Competition Covenant.

More Definitions of Non-Competition Covenant

Non-Competition Covenant shall have the meaning set forth in Section 8.01.
Non-Competition Covenant means the covenant of Weatherford set forth in Section 4.5 of this Agreement. “Non-U.S. Plan” has the meaning set forth in Section 3.1.23(c).

Non-Competition Covenant means the covenant of Weatherford set forth in Section 4.5 of this Agreement.
