Non-Conforming Waste means any waste (or part thereof) provided by Company that: (i) is not properly identified to Tervita; (ii) materially varies from the characterization or classification provided by the Company to Tervita; or (iii) requires services which Tervita's Facility is not permitted to provide, or is otherwise prohibited from being received, managed, processed, treated or disposed of at Tervita's Facility by Applicable Laws.

• The Company shall be liable for and indemnify and save and hold harmless Tervita Indemnified Persons from and against any and all Claims that may be asserted or brought against, or suffered or incurred by the Tervita Indemnified Persons for or in respect of, or arising in any way whatsoever, out of the acts or omissions of the Company, its affiliates, and its and their directors, officers, employees, consultants, subcontractors, agents and representatives, including the provision of Non-Conforming Waste.

• Except as otherwise required by Applicable Laws, Tervita shall not take title to or accept ownership of the Waste or any Non-Conforming Waste.

• A justified revocation of acceptance by Disposer re-vests title to Aerojet Rocketdyne, including risk of loss and all other incidents of ownership, at the time such revocation of acceptance is received by Aerojet Rocketdyne; provided that during the period of Disposer's possession of Non- Conforming Waste Material after a justified revocation of acceptance has been received by Aerojet Rocketdyne, the duty of Disposer with respect to such Non-Conforming Waste Material shall be that of a bailee for hire.

• Tervita shall have the right to reject any Non-Conforming Waste or portion thereof.

• All materials generated at the Plant that fail to meet this Quality Standard shall be called “Non-Conforming Waste.” The Contractor has the right to refuse any Non-Conforming Waste in its sole discretion.

More Definitions of Non-Conforming Waste

Non-Conforming Waste means: (i) any waste or other material not falling within the definition of Regulated Medical Waste, and includes complete human remains ; (ii) radioactive wastes; (iii) any listed or characteristic hazardous wastes, chemotherapeutic hazardous waste and substances as defined in any applicable laws, regulations and guidelines; (iv) pharmaceutical waste (except as allowed under Stericycle’s waste acceptance policy); (v) any device, solution or waste containing mercury including dental wastes (amalgam and products, chairside traps, amalgam sludge or vacuum pumps); (vi) improperly segregated, labeled or packaged waste, including sharps not in designated sharp containers; (vii) containers that are leaking, damaged or likely to create risk of exposure to employees or the general public; and (viii) any other material which Stericycle may not collect, transport, treat or dispose in accordance with applicable laws, regulations or guidelines. Non-Conforming Waste means any: (1) the Materials are not properly packaged or labeled; or (2) the Materials contain constituents or have characteristics or properties not disclosed on the Waste Profile, (3) such constituents, characteristics or properties increase the cost to VLS Environmental Solutions, LLC or increase the risk of hazard to human health or the environment from the handling, transportation, storage or disposal of such materials; or (4) the designated disposal facility is not designed or permitted to dispose of Materials with such undisclosed constituents, characteristics or properties.

Non-Conforming Waste. : means any MSW which is not a Conforming Waste as set forth in the Clause 7.2.2.

Non-Conforming Waste means any Solid Waste that does not materially conform to the definition of Solid Waste pursuant to Section 1.11 hereof.

Non-Conforming Waste means organic or inorganic waste that is not permitted to be processed at the composting facility in terms of the facility’s approved environmental management plan (EMP) or waste that has been determined by the composting facility operator not to be accepted.

Non-Conforming Waste means any waste material not expressly included within the scope of this Agreement, waste material that does not conform to its waste documentation, waste material that is not acceptable at the intended disposal or recycling facility, and/or Waste placed in a container intended for a different type of Waste (such as solid waste in a container for Recyclables). “Recyclables” means material that Company determines can be recycled such as aluminum, used beverage containers, cardboard (free of wax), ferrous metal cans, mixed office paper, newspaper, and plastic containers.
