Accordingly, each Bank represents to the Borrower, the Servicing Agent and the Administrative Agents that it has identified in its Administrative Questionnaire a credit contact who may receive information that may contain Nonpublic Information in accordance with its compliance procedures and applicable law, including federal, state and foreign securities laws.
If the Borrower has not indicated whether a document or notice delivered pursuant to this Section 5.01 contains Nonpublic Information, the Servicing Agent reserves the right to post such document or notice solely on that portion of the Approved Electronic Platform designated for Banks who wish to receive Nonpublic Information.
Each Bank also acknowledges that it will, independently and without reliance upon the Servicing Agent, any Administrative Agent or any other Bank, or any of the Related Parties of any of the foregoing, and based on such documents and information (which may contain Nonpublic Information) as it shall from time to time deem appropriate, continue to make its own decisions in taking or not taking action under or based upon this Agreement or any related agreement or any document furnished hereunder.
Concurrently with such delivery to the Servicing Agent, the Borrower shall indicate in writing whether such document or notice contains Nonpublic Information.
