Nortel Networks Equipment definition

Nortel Networks Equipment means all hardware, software and equipment (including fixtures) manufactured, sold or otherwise provided to the Borrower or any other Subsidiary of the Borrower by Nortel Networks and/or Nortel Networks Corporation, including, without limitation, all equipment sold to the Borrower or a Subsidiary of the Borrower pursuant to the Supply Agreement and all Nortel Networks Software.

  • Debtor is, and with respect to Nortel Networks Equipment acquired after the date hereof Debtor will be, the legal and beneficial owner of the Nortel Networks Equipment free and clear of any Lien or other encumbrance, except for Permitted Liens and Liens in favor of Secured Party.

  • Holdings and the Borrower shall, on or prior to September 30, 2000, cause each Subsidiary of Holdings or the Borrower that is not domiciled in the United States or Canada and that owns, operates or utilizes on premises owned, occupied or leased by it, Nortel Networks Equipment, to execute and deliver to the Administrative Agent a Certificate of No Encumbrances in substantially the form attached hereto as Exhibit E.

  • Borrower shall not locate, and ------------------------------ shall not permit any of its Subsidiaries to locate, any Financed Products on the same premises where Nortel Networks Equipment and/or Nortel Networks Software are located.

  • The Borrower shall, concurrently with the sale or other disposition of any U.S. Nortel Networks Equipment constituting Collateral, pay to the Administrative Agent, as a prepayment of the Loans, an aggregate amount equal to the Net Proceeds of any such sale or other disposition.

Related to Nortel Networks Equipment

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Service Equipment means any equipment, Software, systems, cabling and facilities provided by or on behalf of Verizon and used to facilitate provision of the Services at a Customer Site. Ownership of the Service Equipment does not pass to Customer. Service Equipment does not include Verizon Facilities.

  • Terminal Equipment means all telephone instruments, including pay telephone equipment, the common equipment of large and small key and PBX systems and other devices and apparatus, and associated wirings, which are intended to be connected electrically, acoustically or inductively to the telecommunication system of the telephone utility.

  • Interconnection equipment means a group of components or an integrated system owned and operated by the interconnection customer that connects an electric generator with a local electric power system, as that term is defined in Section 3.1.6.2 of IEEE Standard 1547, or with the electric distribution system. Interconnection equipment is all interface equipment including switchgear, protective devices, inverters or other interface devices. Interconnection equipment may be installed as part of an integrated equipment package that includes a generator or other electric source.

  • The Works/Project means the works to be executed or done under this contract.

  • Your Equipment means all equipment located after (downstream of) the point that electricity leaves the Meter at the premises which is used to take supply of or consume electricity except any Electricity Supply Equipment.

  • Capital Equipment means machinery and equipment purchased or leased, and used in this state by the purchaser or lessee primarily for manufacturing, fabricating, mining, or refining tangible personal property to be sold ultimately at retail if the machinery and equipment are essential to the integrated production process of manufacturing, fabricating, mining, or refining. Capital equipment also includes machinery and equipment used primarily to electronically transmit results retrieved by a customer of an online computerized data retrieval system.

  • Customer-generator means a user of a net metering system.

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.
