Note Agent definition

Note Agent means any Registrar, Paying Agent or Conversion Agent.

Note Agent has the meaning set forth in Section 14.1.

• The Company, at any time, may, and the Trustee, while any Default continues, may, require a Paying Agent or Conversion Agent to pay or deliver, as applicable, all money and other property held by it to the Trustee, after which payment or delivery, as applicable, such Note Agent (if not the Company or any of its Subsidiaries) will have no further liability for such money or property.

Note Agent means Xxxxx Fargo Bank, National Association, in its capacity as agent for the holders of the Notes or any successor pursuant to the terms of the Note Agency Agreement.
