Note Subscription Agreement definition

Note Subscription Agreement and “Note Subscription Agreements” shall mean the Note Subscription Agreement (the “Note Subscription Agreement”) pursuant to which this Note was issued under, by and between the Company and Investor, together with all other Note Subscription Agreements (the “Note Subscription Agreements”) in a form substantially similar to the Note Subscription Agreement, each by and between the Company and the investor set forth on the signature pages thereto.

Note Subscription Agreement has the meaning given to it in the Recitals.

• All notices, requests, demands, consents, instructions or other communications required or permitted hereunder shall be in writing and faxed, mailed or delivered to each party at the respective addresses of the parties as set forth in the Note Subscription Agreement, or at such other address or facsimile number as the Company shall have furnished to Investor in writing.

• No single or partial exercise of any right, power or remedy under this Convertible Note Subscription Agreement by a party hereto, nor any abandonment or discontinuance of steps to enforce any such right, power or remedy, shall preclude such party from any other or further exercise thereof or the exercise of any other right, power or remedy hereunder.

Note Subscription Agreement means the agreement between the Issuer and the Note Subscribers dated 8 October 2021 as amended and or supplemented from time to time.
