Noteholder Delivery Notice definition

Noteholder Delivery Notice means a notice, delivered on or prior to the Noteholder Notice Date, (1) specifying the name and address of the relevant Noteholder and the person from whom the Calculation Agent may obtain details for delivery of the relevant Collateral Entitlement;(2) authorising the production of the Noteholder Delivery Notice in any applicable administrative or legal proceedings; (3) if the Noteholder Delivery Notice is a EUCLID Notice, (a) specifying the number of Notes which are the subject of such notice and the number of the Noteholder’s account at Euroclear Bank S.A./N.V., (“Euroclear”) or Clearstream Banking société anonyme (“Clearstream, Luxembourg”) (as the case may be) to be debited with such Notes; (b) irrevocably instructing and authorising Euroclear or Clearstream, Luxembourg (as the case may be) to debit the account of the relevant Noteholder with the relevant Notes; and (4) if the Noteholder Delivery Notice is not a EUCLID Notice, accompanied by the relevant Notes together with all Coupons (if any) pertaining thereto.A Noteholder Delivery Notice shall be effective and irrevocable when received by Euroclear or Clearstream, Luxembourg (in the case of a EUCLID Notice) or the Company (in the case of a Noteholder Delivery Notice other than a EUCLID Notice). After delivery of a Noteholder Delivery Notice, the relevant Noteholder may not transfer the Notes to which the Noteholder Delivery Notice relates, and no such transfers will be effected by Euroclear or Clearstream, Luxembourg. Upon receipt of a EUCLID Notice, the Principal Paying Agent shall procure that Euroclear or Clearstream, Luxembourg shall verify that the person specified in such notice as the accountholder is the holder of the relevant Notes according to its records.

  • Preliminary Settlement Statement shall have the meaning given such term in Section 3.2.

  • OJEU Notice means the contract notice published in the Official Journal of the European Union.

  • Repurchase Notice has the meaning set forth in Section 8.6(a).
