Notes Register and “Notes Registrar”: The respective meanings specified in Section 2.5(a) hereof.

Notes Register means the register maintained by the Note Registrar with respect to the Notes pursuant to Section 2.5.

Notes Register means the register maintained by the Issuer, which includes a list of the names and addresses of each Holder, as well as the Outstanding Principal Amount and interest amount owing to such Holder from time to time. The entries in the Notes Register shall be conclusive, and the Issuer may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Holder hereunder for all purposes of this Note. The Notes Register shall be available for inspection by any Holder, at any reasonable time and from time to time upon reasonable prior notice.

Examples of Notes Register in a sentence

• In the event of any redemption pursuant to Section 9.3 or 9.8, a notice of redemption shall be provided by the Collateral Trustee not later than seven Business Days prior to the applicable Redemption Date, to each Holder of Debt, at such Holder’s address in the Notes Register and the Rating Agency.

• The Collateral Trustee is hereby initially appointed “Notes Registrar” for the purpose of registering Notes and transfers of such Notes with respect to the Notes Register maintained in the United States as herein provided.

• In the event of any redemption pursuant to Section 9.2, a notice of redemption shall be provided by the Collateral Trustee not later than fifteen (15) Business Days prior to the applicable Redemption Date, to each Holder of Debt, at such Holder’s address in the Notes Register and the Rating Agency.

• The Issuer shall at all times cause a duplicate copy of the Notes Register to be maintained at the Corporate Trust Office of the Collateral Trustee.

• Upon written request at any time the Notes Registrar and the Loan Agent shall provide to the Issuer, the Collateral Manager, the Placement Agent or any Holder a current list of Holders as reflected in the Notes Register and the Loan Register, as applicable.
