Notice and Direction definition

Notice and Direction means a notice and direction, executed by the Company and GMP, for and on behalf of the Agents, confirming that the Escrow Release Conditions have been satisfied and directing the release of the Escrowed Funds, including the Agents’ Fee, any remaining unpaid Agents’ Expenses and the Agents’ pro rata entitlement to the Earnings, substantially in the form attached hereto as Schedule “C“;
Notice and Direction means a notice and direction, executed by the Company and the Lead Agent, for and on behalf of the Agents: (i) advising the Receipt Agent that the Escrow Release Conditions have been satisfied; (ii) authorizing and directing the Receipt Agent to release the Released Amount to the Company; and (iii) authorizing and directing the Receipt Agent to pay the Balance of the Agents’ Expenses to the Lead Agent, for and on behalf of the Agents in accordance with this Agreement, substantially in the form attached hereto as Schedule “C”;

  • The Corporation further acknowledges and confirms that it has no interest in the Escrowed Funds or in the Earnings thereon unless and until the Completion Notice and Direction is delivered to the Special Warrant Agent.

  • The Trustee shall release to OMI all funds remaining in the Capitalized Interest Account on the Distribution Date immediately following the final transfer of Subsequent Assets to the Trust upon written notice from an officer of OMI to the Trustee (which may be contained in the Notice and Direction to the Trustee under Section 8(b)(1)) that all of the Subsequent Assets have been transferred to the Trust.

  • Any direction from the Company and Clarus, as applicable, for the release of the Escrowed Funds in accordance with this Indenture, including the Release Notice and Direction, must be received in writing prior to 11:00 a.m. (Vancouver time) on the day on which the release of Escrowed Funds is to be made.

  • CRD Directive means the Directive (2013/36/EU) of the European Parliament and of the Council on prudential requirements for credit institutions and investment firms dated 26 June 2013 and published in the Official Journal of the European Union on 27 June 2013 (or, as the case may be, any provision of Danish law transposing or implementing such Directive), as amended or replaced from time to time (including, for the avoidance of doubt, the amendments to such Directive resulting from Directive (EU) 2019/878 of the European Parliament and of the Council as regards exempted entities, financial holding companies, mixed financial holding companies, remuneration, supervisory measures and powers and capital conservation measures dated 20 May 2019 and published in the Official Journal of the European Union on 7 June 2019);

  • Directions means the directions contemplated in section 27(2) of the Act, issued by a Cabinet member relating to his or her line functions, after consultation with the Cabinet members responsible for cooperative governance and traditional affairs and justice and correctional services;

  • Instructions means communications transmitted by electronic or telecommunications media, including S.W.I.F.T., computer-to-computer interface, or dedicated transmission lines.

  • FOIA Notice means a decision notice, enforcement notice and/or an information notice;

  • Transfer Request means the communication by an authorized account representative or an alternate authorized account representative to the accounts administrator to register into the tracking system the transfer of allowances between accounts.

  • Redirection Notice shall have the meaning assigned to such term in Section 14(c).

  • Technical Direction means developing work statements, determining parameters, directing other Contractors' operations, or resolving technical controversies.

  • Direction Has the meaning specified in Section 1.04(a).

  • Dispatch Instruction has the meaning set forth in the CAISO Tariff.

  • Qualified medical direction means, in the context of the practice of respiratory care, having readily

  • Texas Grant Management Standards or “TxGMS” means uniform grant and contract administration procedures, developed under the authority of Chapter 783 of the Texas Government Code, to promote the efficient use of public funds in local government and in programs requiring cooperation among local, state, and federal agencies. Under this Grant Agreement, TxGMS applies to Grantee except as otherwise provided by applicable law or directed by System Agency. Additionally, except as otherwise provided by applicable law, in the event of a conflict between TxGMS and applicable federal or state law, federal law prevails over state law and state law prevails over TxGMS.

  • Medical direction means direction, advice, or orders provided by a medical director, supervising physician, or physician designee (in accordance with written parameters and protocols) to emergency medical care personnel.

  • Termination Warning Notice means a notice sent by the Secretary of State to the Academy Trust, stating his intention to terminate this Agreement.

  • Advance health care directive means a power of attorney for health care or a record signed or authorized by a prospective donor containing the prospective donor’s direction concerning a health care decision for the prospective donor.

  • Repurchase Response Notice means a notice delivered by the Indenture Trustee at the direction of the Administrator to a Noteholder or Note Owner indicating that a Repurchase Request is unresolved.

  • Notice of Dissatisfaction means the notice given by either Party to the other indicating its dissatisfaction and intention to commence arbitration.

  • Communications channel means a physical or virtual path of communications over which signals are transmitted between or among customer channel termination points.

  • Independent Safeguarding Authority is a non-departmental public body sponsored by the Home Office set up under the provisions of the Safeguarding Vulnerable Groups Act 2006 and which is responsible for the decision making and maintenance of two lists covering the children’s and vulnerable adults’ sectors

  • Grant Manager means CalRecycle staff person responsible for monitoring the grant.

  • Notice Program means the methods provided for in this Agreement for giving the Notice and consists of Email Notice, Postcard Notice, and Long Form Notice, which shall be substantially in the forms as the exhibits attached to this Agreement.
