• If after the adjournment a new Voting Record Date is fixed for the adjourned meeting, the Board shall fix a new Notice Record Date in accordance with Section 2.11(c) and shall give notice of such adjourned meeting to each stockholder entitled to vote at such meeting as of the Notice Record Date.

• The shareholders listed and the shares held by them shall be those registered at the close of business on the Notice Record Date and such list shall be prepared not later than 10 days after such record date, or on the Deemed Record Date, as the case may be.

• Any unitholder who was a unitholder at the close of business on either of the Notice Record Date or Voting Record Date shall be considered a unitholder for notice or voting purposes, as the case may be, even though such unitholder may have sold or redeemed units subsequent to such record date.

• The Notice Record Date for determining the Holders entitled to receive this Request for Consent of Controlling Class and Subordinated Noteholders to Proposed Amendment to Collateral Management Agreement and to deliver an executed Consent shall be October 4, 2016.
