During the Life of this Agreement, Nasdaq shall have the right, with reasonable Notice to Licensee, during normal business hours, to audit on a Confidential basis, any relevant books and records of Licensee or its sub-licensees to ensure that the type and amount of Fees calculated or stated to be payable to Nasdaq are complete and accurate.
During the Term, Licensor shall be entitled to propose modifications to the provision of this Agree- ment by delivering a notice (a Modification Notice) to Licensee at least thirty (30) calendar days prior to the proposed modification becoming effective.
Notice to Licensee will be provided as soon as reasonably practicable.
