Number of Put Options definition

Number of Put Options means 99,300; provided that the Number of Put Options shall be reduced, as of the Trading Day prior to the Determination Date, by 0.232% of the Free Float as of the Trading Day prior to the Determination Date, rounded up to the nearest whole number; provided further that if such reduction results in a negative number, the Number of Put Options will be deemed to be zero. The Number of Put Options shall be subject to adjustment pursuant to ‎Section 4.02.

Examples of Number of Put Options in a sentence

  • The Number of Put Options issued hereunder shall be represented by this Put Option Agreement.

  • These calculations include, but are not limited to, the Exercise Date, the Exercise Price, the Number of Put Options and the number of ADSs or Units of Reference Property, if any, to be delivered upon exercise of the Number of Put Options.

  • Upon the terms and subject to the conditions of this Put Option Agreement, the Seller agrees to sell to the Purchaser, and the Purchaser agrees to purchase from the Seller, the Number of Put Options in consideration for Purchaser’s agreement to purchase all of the ADSs to be purchased pursuant to the Stock Purchase Agreement.

  • The Seller shall notify the Holder, not later than the Open of Business on the Determination Date of the Number of Put Options.

  • The Holder has valid title to the ADSs to be delivered upon exercise of the Number of Put Options under this Put Option Agreement, free and clear of all security interests, claims, liens, equities or other encumbrances.

  • Number of Shares means a number of shares calculated as follows: Par / Geared Put Strike LPU rounded down to the nearest round lot as permitted by the Exchange for trading purposes, and the remaining fractional share amount (being the “Residual Amount”) shall be paid in USD as the Cash Residual; and

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Minimum Subsequent Subscription means, in relation to the Euro RDR ‘Retail’ Hedged

  • Share Delivery Quantity For any Settlement Date, a number of Shares, as calculated by the Calculation Agent, equal to the Net Share Settlement Amount for such Settlement Date divided by the Settlement Price on the Valuation Date for such Settlement Date.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Share Delivery Date shall have the meaning set forth in Section 4(c)(ii).

  • VWAP Purchase Share Volume Maximum means a number of shares of Common Stock traded on the Principal Market during normal trading hours on the VWAP Purchase Date equal to: (i) the VWAP Purchase Share Estimate, divided by (ii) the VWAP Purchase Share Percentage (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Net Share Amount has the meaning set forth in Section 3.03(c).

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2018-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2018-1 Vehicle for which the related 2018-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2018-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Minimum Transaction Size means the minimum value of subsequent subscriptions,

  • Total Shares means (without double-counting), as of a particular date of determination, the algebraic sum of: (A) the Initial Shares, plus (B) the Additional Shares, minus (C) all Buyback Shares repurchased or redeemed between the Effective Date and such date of determination.
