Oaktree Shares definition

Oaktree Shares. As of any date of determination, the shares of Common Stock then held by the Oaktree Investors.

Oaktree Shares means (i) the shares of Class A Common Stock (including any Class A Common Stock issued or issuable upon conversion of Class B Common Stock) issued to or purchased by Oaktree on the date hereof, and (ii) any securities issued or issuable directly or indirectly with respect to the shares referred to in clause (i) by way of dividend or split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization; provided, however, that any of the securities referred to in the foregoing clauses (i) or (ii) which are transferred in a Forced Sale or in a Transfer pursuant to Section 3C shall cease to be “Oaktree Shares” upon and after such Transfer. For purposes of any calculation with respect to Oaktree Shares, share amounts shall be calculated after appropriate adjustment for stock splits, stock dividends, combinations of shares, recapitalizations, mergers, consolidations or other reorganizations.

Oaktree Shares has the meaning set forth in Section 2.1(a).

Examples of Oaktree Shares in a sentence

• The Oaktree Investors own, of record or beneficially, no shares of Common Stock or securities convertible or exchangeable for shares of Common Stock, other than the Oaktree Shares subject to this Agreement.

• The Tag-Along Notice shall state the amount of Oaktree Shares that the Oaktree Investors propose to include in such sale to the Proposed Purchaser.

• As of the Effective Date, after giving effect to the Restructuring Transactions, the Oaktree Shares and Participation Offering Shares, if any, the number and par value per share of which shall be set forth in the Plan, and the Commitment Fee Warrant Shares and the equity interests, if any, reserved for issuance under the Equity Incentive Program, shall represent the only issued and outstanding capital stock of the Company.

• The M III Sponsor Shares, the Xxxxxx Shares, the Xxxxxx Trust Shares, the Xxxxxx Shares or the Oaktree Shares, as applicable, are all the securities of the Company owned, either of record or beneficially, by such Stockholder.

• Notwithstanding anything to the contrary in this Agreement, Oaktree, may in its sole discretion designate that some or all of the Oaktree Shares be issued in the name of and delivered to, one or more Affiliates of any Oaktree Fund.

Oaktree Shares means the aggregate number of shares of Series A Preferred Stock authorized for issuance by Issuer in the Oaktree Offering.
