If any Party (an “Objecting Party”) believes that another Party (the “Other Party”) has failed to perform or comply in any material respect with any of such Other Party’s obligations under this Agreement (a “Failure”), the Objecting Party shall have the right to give written notice to the Other Party of the Failure (the “Failure Notice”).
If the event that the Objecting Party and the Other Party fail to agree on the resolution of any Failure by, and if the Other Party fails to cure a Failure by no later than sixty (60) days after delivery of the Failure Notice (“60-Day Cure Period”), the Other Party shall thereupon without further notice or opportunity to cure be in default of this Agreement.
Any Failure Notice must specify the nature of the alleged Failure, where appropriate the manner in which the alleged Failure may be cured, and, at the option of the Objecting Party, contain the notice required by Section 10.4.5 that the Objecting Party may institute legal proceedings in a court of competent jurisdiction to enforce the specific performance of this Agreement by the Other Party and/or enjoin the Other Party from violation of this Agreement.
Within twenty (20) days after the giving of the Failure Notice, the Objecting Party and the Other Party shall meet and confer in good faith to negotiate a resolution of the alleged Failure.
Within thirty (30) days after receipt of the written notice from the Acquired Party, the Objecting Party shall provide written notice to Acquired Party if the Objecting Party objects to the continued use of the Common Xxxx under this Section 3.2(f).
