Off-the-Shelf Software definition

Off-the-Shelf Software means any Software that is made generally and widely available to the public on a commercial basis and is licensed to any of the Group Companies on a non-exclusive basis under standard terms and conditions.
Off-the-Shelf Software means any commercially available, off-the-shelf Software that is licensed other than through a written agreement executed by the licensee (such as via clickwrap, browsewrap, or shrinkwrap licenses) or that has license or user-fees less than $50,000.
Off-the-Shelf Software means Software (or the provision of Software-enabled services) that is licensed under a “shrink wrap,” “click wrap,” “off the shelf” or other standard commercial terms.

Examples of Off-the-Shelf Software in a sentence

  • Transfer of title to the Product shall include a license to use any Embedded Software in the Product, as follows: To the extent that the Software sold under the Master Agreement is Commercial Off-the-Shelf Software, such Software is licensed, not sold, to the Purchasing Entity.

  • Sellers have made available to Buyer true and complete copies of all such Intellectual Property Agreements (other than those relating to Off-the-Shelf Software), including all modifications, amendments and supplements thereto and waivers thereunder.

  • CRIC is not in material breach of, or default under, any CRIC IP Agreement (other than agreements for Off-the-Shelf Software).

  • To the knowledge of CRIC, no other party to any CRIC IP Agreement (other than agreements for Off-the-Shelf Software) is in breach thereof or default thereunder and CRIC has not received any notice of termination, cancellation, breach or default under any such CRIC IP Agreement.

More Definitions of Off-the-Shelf Software

Off-the-Shelf Software means software, other than open source software, obtained from a third party (a) on general commercial terms and that continues to be widely available on such commercial terms, (b) that is not distributed with or incorporated in any product or services of the Company, Parent or any of their Subsidiaries, as applicable, (c) that is used for business infrastructure or other internal purposes and (d) was licensed for fixed payments of less than $250,000 in the aggregate or annual payments of less than $250,000 per year.
Off-the-Shelf Software means off-the-shelf personal computer software, as such term is commonly understood, that is commercially available under non-discriminatory pricing terms on a retail basis.
Off-the-Shelf Software means an item of off-the-shelf software or software provided as a service that is generally commercially available on a non-exclusive basis under standard terms and for which the annual fees or other aggregate consideration paid or payable by Trimble or any of its controlled Affiliates for such item, as such fees or consideration are allocated to the Business, are less than $500,000.
Off-the-Shelf Software means, with respect to any Person, all Software that is commercially available off-the-shelf Software that (i) has not been modified or customized for such Person, and (ii) is licensed to such Person for a one-time or annual fee of US$10,000 or less.
Off-the-Shelf Software has the meaning assigned thereto in Section 6.15(c).
Off-the-Shelf Software means any Software that is not incorporated in, or used directly in the development of, a Company Product and is made generally available on a commercial basis (including technology offered on a Software as a service (SaaS), Platform as a Service (PaaS), or Infrastructure as a Service (IaaS) or similar basis and Software available through retail stores, distribution networks or that is pre-installed as a standard part of hardware) and is licensed to the Company or its Subsidiaries on a non-exclusive basis under standard terms and conditions for internal use for a one-time license fee of less than $50,000 per license or an ongoing license fee of less than $100,000 per year.
Off-the-Shelf Software means commercially available desktop computer Software licensed non-exclusively under “shrink wrap” or other comparable standard form licenses.
