Offering Documents definition

Offering Documents means the Canadian Offering Documents and the U.S. Offering Documents;

Offering Documents means, collectively, the Preliminary Prospectus, the Final Prospectus and any Supplementary Material;

Offering Documents means the Preliminary Prospectus, the Final Prospectus, any Supplementary Material and, if applicable, the U.S. Private Placement Memorandum;

Examples of Offering Documents in a sentence

• Except as described in the Offering Documents, the Company will not, before or during the Offering Period, directly or indirectly (except through the Placement Agent), sell or offer, or attempt to offer to dispose of, or solicit any offer to buy, or otherwise approach or negotiate in respect of, any of the Securities or any other securities of the Company.

• None of the statements, documents, certificates or other items made, prepared or supplied by the Company with respect to the Offering and the other transactions contemplated by the Offering Documents contains an untrue statement of a material fact or omits to state a material fact necessary to make the statements contained therein, in light of the circumstances under which they were made, not misleading.

• For greater certainty, the Corporation and the Underwriters agree that they do not intend that any failure by the Underwriters to conduct such reasonable investigation as necessary to provide the Underwriters with reasonable grounds for believing the Offering Documents contained no misrepresentation shall constitute “negligence”, “dishonesty”, “fraud” or “willful misconduct” for the purposes of this Section 15 or otherwise disentitle the Underwriters from indemnification hereunder.

• The Underwriters may offer the Units at a price less than the Offering Price as described in further detail in Section 18(e) below, in compliance with Canadian Securities Laws (as hereinafter defined) and the disclosure concerning the same contained in the Offering Documents (as hereinafter defined).

• This Agreement and any Offering Documents constitute the entire agreement of the parties with respect to services to be provided by COHESIVE, and they supersede all previous agreements or representations, whether written or oral, with respect to the Services.

More Definitions of Offering Documents

Offering Documents means, collectively, the Prospectuses, any Supplementary Material and the U.S. Memorandum;
