The Offering Member Notice shall be accompanied by a copy of the signed offer from the proposed purchaser.
Upon receipt of the Class B Offering Member Notice, if, within 60 (sixty) days from the date of the Class B Offering Member Notice, none of the other Members holding Class B Profits Units wish to continue the business of the Company, the Board will either seek to sell the Company or the Company will be dissolved.
If no Co-Sale Notice is received during the ten-day period referred to above (or if the Co-Sale Notice does not cover all of the Units proposed to be transferred), the Offering Member shall have the right, for a sixty-day period after the expiration of the ten-day period referred to above, to transfer the Units so specified in the Offering Member Notice (or the remaining Units) at the same or a lower price and on other terms and conditions no more favorable than those stated in the Offering Member Notice.
If the Offering Member does not Transfer the Offered Membership Interest to the Independent Third Party within the Waived ROFR Transfer Period, the rights provided hereunder shall be deemed to be revived and the Offered Membership Interest shall not be Transferred to the Independent Third Party unless the Offering Member sends a new Offering Member Notice in accordance with, and otherwise complies with, this Section 9.3.
The Offering Member Notice shall constitute the Offering Member’s offer to Transfer the Offered Membership Interest to the other Class A Members, which offer shall be irrevocable until the end of the ROFR Notice Period (as defined below).
