The Company represents and warrants, and agrees, that the listing prospectus relating to the listing of the Securities on the Official List of the Luxembourg Stock Exchange for trading on the Euro MTF Market (the “Luxembourg Listing Prospectus”) will not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements therein, in light of the circumstances under which they were or are made, not misleading.
