Offshore Borrower definition

Offshore Borrower means O-I Australia, O-I Canada, OIEG, OI Europe, O-I NZ, O-I Mexico and any Additional Foreign Subsidiary Borrower, and “Offshore Borrowers” means O-I Australia, O-I Canada, OIEG, OI Europe, O-I NZ, O-I Mexico and each such Additional Foreign Subsidiary Borrower collectively.
Offshore Borrower means ACI, O-I Canada, OIEG, OI Europe and any Additional Foreign Subsidiary Borrower, and “Offshore Borrowers” means ACI, O-I Canada, OIEG, OI Europe, and such Additional Foreign Subsidiary Borrower collectively.
Offshore Borrower means the borrower under the Offshore Facility Agreement, i.e. EDC YG.

Examples of Offshore Borrower in a sentence

  • If any portion of any such amount paid to any Offshore Overdraft Account Provider should be recovered by or on behalf of such Offshore Borrower from such Offshore Overdraft Account Provider in bankruptcy, by assignment for the benefit of creditors or otherwise, the loss of the amount so recovered shall be ratably shared among all Lenders in the manner contemplated by subsection 10.6.

  • Any Offshore Overdraft Provider may resign at any time by giving thirty (30) days’ prior written notice thereof to the Lenders, the relevant Offshore Borrower, Borrowers’ Agent and Administrative Agent.

  • Notwithstanding anything herein to the contrary, no provision of this Agreement shall render any Offshore Borrower liable for the Obligations of Company or of any Domestic Borrower.

  • Company and each Borrower hereby expressly agrees that its Obligations arising hereunder or under the other Loan Documents shall not be affected or diminished by the addition or release of any Offshore Borrower hereunder.

  • Any Offshore Overdraft Account Provider may resign at any time by giving 30 days’ prior written notice thereof to the Lenders, the relevant Offshore Borrower and Administrative Agent.

Offshore Borrower has the meaning assigned to that term in the introduction to this Agreement.
Offshore Borrower means (i) with respect to Tranche A1 Term Loans, ACI, (ii) with respect to Australian Revolving Loans, the Australian Overdraft Account and any Letter of Credit issued for the account of an Australian Offshore Borrower, any of the Australian Offshore Borrowers, as applicable, (iii) with respect to UK Revolving Loans and the UK Overdraft Account, United Glass, (iv) with respect to Canadian Revolving Loans and the Canadian Overdraft Account, O-I Canada, (v) with respect to Italian Revolving Loans and the Italian Overdraft Account, Avir and (vi) with respect to French Tranche C1 Term Loans and French Tranche C2 Term Loans, BSN and “Offshore Borrowers” means United Glass, O-I Canada, Avir, the Australian Offshore Borrowers and BSN, collectively.
Offshore Borrower means (i) with respect to Australian Loans, the Australian Overdraft Account and any Letter of Credit issued for the account of an Australian Offshore Borrower, any of the Australian Offshore Borrowers, as applicable, (ii) with respect to UK Loans and the UK Overdraft Account and any Letter of Credit issued for the account of a UK Offshore Borrower, either of the UK Offshore Borrowers, and (iii) with respect to Italian Loans and the Italian Overdraft Account, either of the Italian Offshore Borrowers, and "OFFSHORE BORROWERS" means UK Offshore Borrowers, Australian Offshore Borrowers and Italian Offshore Borrowers, collectively.

Offshore Borrower means, as of any date, a Subsidiary of API that has on or before such date been designated by API as an Offshore Borrower in accordance with the terms of this Agreement; provided that such Subsidiary shall be organized under the laws of any country except the United States of America or any political subdivision thereof, or shall conduct the major portion of its business outside the United States of America.

Offshore Borrower means each wholly-owned (other than in respect of any de minimis director's qualifying shares) Offshore Subsidiary of the Domestic Borrower which shall have entered into a Credit Agreement Supplement pursuant to Section 3.02 or 3.03 for so long as such Offshore Subsidiary shall be a party to this Agreement.
