Offshore Borrower definition

Offshore Borrower means O-I Australia, O-I Canada, OIEG, OI Europe, O-I NZ, O-I Mexico and any Additional Foreign Subsidiary Borrower, and “Offshore Borrowers” means O-I Australia, O-I Canada, OIEG, OI Europe, O-I NZ, O-I Mexico and each such Additional Foreign Subsidiary Borrower collectively.
Offshore Borrower means ACI, O-I Canada, OIEG, OI Europe and any Additional Foreign Subsidiary Borrower, and “Offshore Borrowers” means ACI, O-I Canada, OIEG, OI Europe, and such Additional Foreign Subsidiary Borrower collectively.
Offshore Borrower means (i) with respect to Australian Loans, the Australian Overdraft Account and any Letter of Credit issued for the account of an Australian Offshore Borrower, any of the Australian Offshore Borrowers, as applicable, (ii) with respect to UK Loans and the UK Overdraft Account and any Letter of Credit issued for the account of a UK Offshore Borrower, either of the UK Offshore Borrowers, and (iii) with respect to Italian Loans and the Italian Overdraft Account, either of the Italian Offshore Borrowers, and "OFFSHORE BORROWERS" means UK Offshore Borrowers, Australian Offshore Borrowers and Italian Offshore Borrowers, collectively.

  • The Offshore Loan Facility will be used for repayment of inter-company loans raised for the purpose of refinancing an existing banking facility of the Offshore Borrower.

  • Any Offshore Overdraft Provider may resign at any time by giving thirty (30) days’ prior written notice thereof to the Lenders, the relevant Offshore Borrower, Borrowers’ Agent and Administrative Agent.

Offshore Borrower means the borrower under the Offshore Facility Agreement, i.e. EDC YG.

Offshore Borrower means (i) with respect to Tranche A Term Loans, Australian Revolving Loans, the Australian Overdraft Account and any Letter of Credit issued for the account of ACI, ACI, (ii) with respect to Tranche C Term Loans, Canadian Revolving Loans and the Canadian Overdraft Account, O-I Canada, (iii) with respect to Tranche D Term Loans, Dutch Revolving Loans, the Dutch Overdraft Account and any Letter of Credit issued for the account of OIEG, OIEG, (iv) with respect to Swiss Revolving Loans, the Swiss Overdraft Account, and any Letter of Credit issued for the account of OI Europe, OI Europe, and (vi) an Additional Foreign Subsidiary Borrower with respect to the, if any, Additional Foreign Subsidiary Borrower Sublimit established pursuant to Section 10.7 hereof and “Offshore Borrowers” means ACI, O-I Canada, OIEG, OI Europe, and such Additional Foreign Subsidiary Borrower collectively.
Offshore Borrower means Betex, Creaciones and Jamaica or any of them.
