Onshore Collateral Agent means such successor agent effective upon its appointment, and the rights, powers and duties of the former Offshore Collateral Agent or Onshore Collateral Agent, as applicable, shall be terminated, without any other or further act or deed on the part of such former Collateral Agent (except that the applicable Collateral Agent that is resigning or being removed shall deliver all Collateral then in its possession to the successor Offshore Collateral Agent or Onshore Collateral Agent, as applicable) or any of the other Secured Parties.
