In the event any Option Expenditure claimed by ▇▇▇▇▇▇▇▇ is subsequently disallowed, ▇▇▇▇▇▇▇▇'s satisfaction of any Option Commitment during any Commitment Period shall not be adversely affected, provided Richmont either pays the amount of the disallowed Option Expenditure to LKA or adds the disallowed amount to its Option Commitment for a subsequent Commitment Period.
With respect to any amounts paid to a Company Securityholder pursuant to Section 2.7(c)(ii)(B) or the Continuing Employee Unvested Cash Plan or from the Company Option Commitment Pool pursuant to a Company Option Commitment Letter, from the Effective Time until the 24-month anniversary of the Closing Date, Parent shall be entitled to withhold from such amount an amount of cash equal to the Escrow Percentage of such amount (any such amounts, an “Unvested Escrow Amount”).
The Corporation and the Employee agree that effective as of the date of this Amendment, the Original Option Commitment shall terminate and be of no further legal force or effect.
The Option shall be subject to the other terms and conditions set forth in the Company’s Share Option Plan (the “Stock Plan”) and in the Company's standard form of stock Option Commitment (the “Option Commitment”).
Schedule C sets forth for each Company Option Commitment outstanding, (A) the name and address of the holder thereof, (B) whether such holder is an employee, consultant, director or officer of the Company or any Subsidiary, (C) the deemed vesting commencement date, (D) the deemed vesting schedule applicable to such Company Option Commitment, and (E) the deemed exercise price per share and the number of shares of Company Common Stock underlying such Company Option Commitment.
